Terms of Service

1. Acceptance of Terms

By accessing or using the Stellar platform, including our website, mobile applications, and point-of-sale software (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

Stellar provides a commerce platform for local businesses, including online ordering, point-of-sale, kitchen display, delivery management, employee management, and analytics tools. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

You must create an account to use most features of the Service. You agree to:

• Provide accurate and complete registration information.
• Maintain the security of your password and account credentials.
• Notify us immediately of any unauthorized use of your account.
• Take responsibility for all activity that occurs under your account.

You must be at least 18 years old to create an account. We reserve the right to refuse registration or cancel accounts at our discretion.

4. Subscriptions and Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to:

• Pay the applicable fees for your chosen plan.
• Automatic renewal of your subscription at the end of each billing cycle unless cancelled.
• Our right to change subscription prices with at least 30 days' notice.

All fees are exclusive of taxes unless stated otherwise. Refunds are generally not provided for partial billing periods, except where required by law.

5. Free Trial

We may offer a free trial period. At the end of the trial, your account will automatically transition to a paid plan unless you cancel before the trial expires. We reserve the right to modify or discontinue free trial offers at any time.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Transmit harmful, fraudulent, misleading, or illegal content.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service.
• Use automated means to scrape or extract data from the Service without written permission.

7. Your Content

You retain ownership of content you submit to the Service (e.g., product listings, images, business information). By submitting content, you grant Stellar a non-exclusive, worldwide, royalty-free license to use, store, and display that content solely to operate and improve the Service.

You are solely responsible for your content and represent that you have all rights necessary to grant the above license.

8. Intellectual Property

All rights, title, and interest in and to the Service — including software, design, trademarks, and documentation — are owned by Stellar or its licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.

9. Third-Party Services

The Service may integrate with or link to third-party services (e.g., payment processors, mapping providers). Your use of those services is governed by their own terms and privacy policies. Stellar is not responsible for third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STELLAR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF — OR INABILITY TO USE — THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold Stellar, its affiliates, and their respective officers, directors, employees, and agents harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms.

13. Termination

You may cancel your account at any time through your account settings. We may suspend or terminate your account if you violate these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will do so.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
